These Terms of Service ("Terms") govern your access to and use of Public Backlog ("Service"), operated by CmSoftware ("Company", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
To use the Service, you must create an account by providing a valid email address, your name, and a password. You may also register using Google OAuth or Single Sign-On (SSO) through your organization's identity provider.
Users may create Organizations and invite others to join as Organization Users. Organization administrators are responsible for managing access, roles, and permissions within their Organization.
You agree not to use the Service to:
We reserve the right to suspend or terminate your account for violations of these terms, with or without prior notice.
You retain ownership of all Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your Content solely for the purpose of operating and improving the Service.
When you submit Content to a public Backlog or public roadmap, you acknowledge that this Content will be visible to other users and potentially the general public.
The Service, including its design, features, code, documentation, logos, and trademarks, is owned by CmSoftware and is protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding without prior written consent.
Any suggestions, ideas, or feedback you provide about the Service itself (as distinct from Content submitted to your backlogs) may be used by us without obligation to you.
The Service offers integrations with third-party platforms including but not limited to GitHub, Jira, Slack, Linear, Asana, Intercom, Zendesk, Salesforce, HubSpot, Microsoft Teams, Azure DevOps, ClickUp, Notion, Help Scout, Freshdesk, Zapier, and Segment.
The Service provides APIs and SDKs for programmatic access. Use of the API is subject to these Terms and any additional API-specific documentation. We reserve the right to impose rate limits and usage restrictions on API access.
Certain features of the Service require a paid subscription. Payment is processed through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to the following:
We do not store your credit card details. All payment information is handled directly by Stripe in accordance with their security standards (PCI DSS Level 1).
The Service offers a free tier with limited features. Free accounts are subject to the same Terms as paid accounts. We reserve the right to modify or discontinue the free tier at any time, with reasonable notice.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.
You may close your account at any time by contacting us. Upon closure, your personal data will be handled in accordance with our Privacy Policy.
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or for any other reason at our sole discretion, with or without notice. Upon termination:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMSOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless CmSoftware and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
